3. User Obligations

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our services. By using our services, you represent and warrant that you meet these requirements.

3.2 Account Security

If you create an account or receive access credentials for our services, you are responsible for:

  • Maintaining the confidentiality of your account information
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach

4.2 Modifications

5. Fees and Payment

5.1 Service Fees

Fees for our services will be specified in the applicable service agreement. Unless otherwise stated:

  • All fees are quoted in US Dollars (USD) or Canadian Dollars (CAD)
  • Fees are exclusive of applicable taxes, which will be added as required by law
  • Payment is due within 30 days of invoice date unless otherwise specified
  • Late payments may incur interest charges at the rate of 1.5% per month

5.2 Expenses

Unless otherwise agreed, you will reimburse us for reasonable out-of-pocket expenses incurred in connection with providing services, including travel, accommodation, and third-party costs.

5.3 Payment Methods

We accept payment via bank transfer, credit card, or other methods as agreed upon. You are responsible for any transaction fees associated with your chosen payment method.

6. Intellectual Property Rights

6.1 Our Intellectual Property

All content, materials, software, tools, methodologies, and other intellectual property provided by HYS Solutions Inc. remain our exclusive property unless expressly transferred in writing. This includes:

  • Website content, design, and functionality
  • Proprietary methodologies and frameworks
  • Software tools and applications
  • Documentation and training materials
  • Trademarks, logos, and branding

6.2 Client Intellectual Property

You retain ownership of any intellectual property you provide to us. By engaging our services, you grant us a limited license to use your intellectual property solely for the purpose of delivering the agreed services.

6.3 Work Product

Ownership of deliverables and work product will be specified in the applicable service agreement. Typically:

  • Custom developments created specifically for you will be transferred upon full payment
  • Pre-existing materials and general methodologies remain our property
  • We may retain the right to use general knowledge and experience gained

7. Confidentiality

7.1 Confidential Information

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our relationship, including:

  • Business strategies and plans
  • Technical information and specifications
  • Financial information
  • Customer and supplier information
  • Any information marked as confidential

7.2 Exceptions

Confidentiality obligations do not apply to information that:

  • Is publicly available through no fault of the receiving party
  • Was rightfully known prior to disclosure
  • Is independently developed without use of confidential information
  • Must be disclosed by law or court order

8. Warranties and Disclaimers

8.1 Professional Standards

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. We will use qualified personnel with appropriate skills and experience.

8.2 Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED IN A SERVICE AGREEMENT, OUR SERVICES AND WEBSITE ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties of non-infringement
  • Warranties regarding accuracy, reliability, or completeness
  • Warranties that services will be uninterrupted or error-free

9. Limitation of Liability

9.1 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO OUR SERVICES SHALL NOT EXCEED THE FEES PAID BY YOU FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM IN THE 12 MONTHS PRECEDING THE CLAIM.

9.2 Exclusion of Damages

IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits or revenue
  • Loss of data or business opportunities
  • Business interruption
  • Loss of goodwill or reputation

9.3 Exceptions

Nothing in these Terms shall limit or exclude liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded by law

10. Indemnification

You agree to indemnify, defend, and hold harmless HYS Solutions Inc., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any content or information you provide to us

11. Term and Termination

11.1 Term

These Terms remain in effect while you use our services. Service agreements will specify the term of each engagement.

11.2 Termination

Either party may terminate a service agreement as specified in that agreement. We reserve the right to suspend or terminate your access to our services if you violate these Terms.

11.3 Effect of Termination

Upon termination:

  • You must pay all outstanding fees for services rendered
  • We will return or destroy your confidential information as requested
  • Provisions regarding confidentiality, intellectual property, and liability survive termination
  • We may retain information as required by law or for legitimate business purposes

12. Data Protection and Privacy

Our collection, use, and protection of your personal information is governed by our Privacy Policy. By using our services, you consent to our data practices as described in the Privacy Policy.

We comply with applicable data protection laws, including:

  • Personal Information Protection and Electronic Documents Act (PIPEDA) in Canada
  • General Data Protection Regulation (GDPR) where applicable
  • California Consumer Privacy Act (CCPA) where applicable

13. Third-Party Services

Our services may integrate with or rely on third-party services, platforms, or software. We are not responsible for:

  • The availability, functionality, or security of third-party services
  • The terms, policies, or practices of third-party providers
  • Any damages or losses resulting from third-party services

Your use of third-party services is subject to their respective terms and conditions.

14. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including:

  • Natural disasters, epidemics, or pandemics
  • War, terrorism, or civil unrest
  • Government actions or regulations
  • Labor disputes or strikes
  • Telecommunications or internet failures
  • Acts of God or other unforeseeable events

15. Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.

15.2 Jurisdiction

Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.

15.3 Negotiation

Before initiating formal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiation.

15.4 Arbitration

If specified in a service agreement, disputes may be resolved through binding arbitration in accordance with the rules of the ADR Institute of Canada.

16. General Provisions

16.1 Entire Agreement

These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and HYS Solutions Inc. regarding the use of our services.

16.2 Amendments

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.

16.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16.4 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16.5 Assignment
